Terms and Conditions

Welcome to TechnoHub (technohub.co), These Terms and Conditions (“Terms”, “Agreement”) govern your access to and use of our website, as well as the purchase and use of our professional agency services and digital products.
By accessing our website, purchasing a digital product (such as a WordPress theme, custom plugin, or license key), or entering into a contract for custom web development, UI/UX design, e-commerce solutions, or SEO services with TechnoHub, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, you must discontinue the use of our website and services immediately.

Overview of Offerings

TechnoHub operates in a dual capacity as a digital agency and software publisher:
  • Agency Services: Custom Web Development, UI/UX Design, E-Commerce Development (WooCommerce & Shopify), Custom WordPress Engine Development, Technical SEO, API Integrations, and Ongoing Technical Maintenance.
  • Digital Products: Proprietary software products developed and published by TechnoHub, including themes, plugins, code libraries, extensions, and associated digital license keys.

Agency Services & Client Engagements

Proposals, Estimates & Statements of Work (SOW)

  • All project engagements require a written proposal, quote, or Statement of Work (SOW) outlining the scope, deliverables, timeline, and cost.
  • Project timelines provided by TechnoHub are estimates based on initial project parameters. Deadlines are contingent upon prompt receipt of client assets, feedback, and approvals.

Client Responsibilities & Content Delivery

  • Clients are responsible for providing required content, text, media, branding assets, credentials, and API access in a timely manner.
  • The client warrants that all text, graphics, trademarks, logos, and materials supplied to TechnoHub are owned by the client or that permission has been secured from the rightful copyright holder.

Scope Changes & Revisions

  • Each client service project includes a specified number of design/development revision rounds detailed in the project agreement.
  • Requests for features, design overhauls, or functional changes beyond the agreed-upon SOW will be categorized as "Scope Creep" and billed under a separate change order or at our standard hourly rate.

Digital Products, Licensing & Software Usage

License Grant & Software Usage

When you purchase a digital product (e.g., a WordPress theme or custom plugin) from TechnoHub, you are granted a non-exclusive, non-transferable, revocable license to use the product in accordance with the specific license tier purchased:
  • Single-Site License: Grants usage on one (1) live production domain and associated staging/testing environments.
  • Developer / Multi-Site License: Grants usage on a specified maximum number of client or personal domains as detailed during purchase.

License Key & Updates

  • Active license keys grant access to automated software updates, bug fixes, security patches, and official technical support for a duration of one (1) year from the date of purchase, unless a lifetime license is explicitly purchased.
  • License renewals are required after the initial term to maintain continuous access to software updates and customer support.

Restrictions

You explicitly agree NOT to:
  • Re-sell, sub-license, redistribute, lease, share, or host TechnoHub digital products on public repositories or "nulled" software sharing sites.
  • Claim intellectual property ownership of any unmodified TechnoHub product or component.
  • Reverse-engineer or package our digital assets into a competing marketplace or service.

Payment Terms, Billing & Invoicing

Agency Services Payment Schedule

  • Unless otherwise defined in a client SOW, custom project engagements typically require a non-refundable initial deposit (e.g., 50%) prior to project kickoff, with remaining balances tied to project milestones or final pre-launch delivery
  • Invoices are due upon receipt or within the grace period specified on the invoice. Unpaid balances exceeding thirty (30) days may result in a temporary suspension of project work or staging site access.

Digital Product Transactions

  • All payments for digital products, themes, plugins, and subscriptions are processed via PCI-DSS compliant payment gateways (Stripe, PayPal).
  • Prices for products and services are listed in US Dollars (USD) unless otherwise indicated and are subject to change without prior notice.

Intellectual Property Rights & Ownership

Client Custom Work

Upon receipt of full and final payment for custom agency services, ownership of the final bespoke design, custom layout, and client-specific application code transfers to the client, subject to the exclusions in Section 5.B.

TechnoHub Proprietary Assets & Pre-Existing Code

TechnoHub retains full ownership of all pre-existing frameworks, proprietary code libraries,
base plugins, themes, reusable scripts, developer tools, and workflow systems incorporated
into a client project or offered as commercial digital products.

Portfolio & Marketing Rights

Unless restricted by a signed Non-Disclosure Agreement (NDA), TechnoHub reserves the right to showcase completed client work, UI/UX design mockups, and website case studies within our online portfolio, social media channels, and promotional materials.

Refund, Cancellation & Warranty Policies

Digital Product Refund Policy

Due to the digital and downloadable nature of our themes and plugins, all digital sales are final once downloaded or activated. However, we offer a 14-Day Conditional Refund Policy if:
  • The product is proven to be defective or technically non-functional on your environment.
  • You have submitted a ticket to our technical support team and allowed our engineers a reasonable opportunity (at least 3 business days) to resolve the issue.
  • Refunds are not granted for change-of-mind, lack of technical knowledge, or third-party plugin/theme conflicts beyond TechnoHub's control.

Service Engagement Cancellations

  • Either party may terminate a custom development agreement upon written notice.
  • In the event of project cancellation by the client, the initial deposit remains non-refundable, and the client remains liable for all hours worked or milestones completed up to the date of cancellation notice.

Search Engine Optimization (SEO) & Performance Disclaimer

  • SEO Outcomes: While TechnoHub applies industry-standard technical and structural SEO best practices, we do not guarantee specific search engine rankings, traffic increases, or sales revenue. Search algorithms are controlled entirely by third parties (e.g., Google) and are subject to change.
  • Third-Party Services: TechnoHub is not liable for performance downtime, server outages, data loss, or API changes caused by third-party web hosting providers, domain registrars, or external software tools (e.g., Shopify platform updates, WooCommerce add-ons).

Limitation of Liability

To the maximum extent permitted by applicable law:
  • TechnoHub, its directors, employees, contractors, and partners shall not be held liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, lost profits, business disruption, or loss of data arising from the use or inability to use our services or digital products.
  • TechnoHub's maximum cumulative financial liability under any contract or claim shall not exceed the total amount paid by the client or customer to TechnoHub in the six (6) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless TechnoHub and its team members against any claims, damages, liabilities, costs, or expenses (including reasonable attorney fees) arising from:
  • Your breach of these Terms.
  • Copyright, trademark, or IP infringement resulting from assets, copy, or imagery supplied by you.
  • Misuse of TechnoHub digital products or software on your or your clients' live web environments.

Termination

We reserve the right to suspend or terminate access to our digital product support platforms, software download portals, or agency service delivery without prior notice if you breach these Terms, engage in abusive behavior toward our staff, or violate intellectual property policies.

Governing Law & Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with applicable laws. Any legal action, dispute, or claim arising out of or related to these Terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration or submission to the jurisdiction of competent courts.

Modifications to Terms

TechnoHub reserves the right to amend or update these Terms and Conditions at any time. Updated versions will be published on this page with a revised “Last Updated” date. Continued use of our website, digital products, or agency services following any updates signifies your acceptance of the modified terms.
